I Have Tried Several Times To Install 8.1 Opperating System And Pc Says

processor won't work with 8.1

I'm sorry. It appears I was mistaken. The Intel Xeon CPUs are basically the workstation eqivelant of a Pentium 4 which is way too old to run Windows 8. Unfortunately you're out of luck as there's no CPU you can upgrade to that will allow you to run Windows 8.
