O.s. Upgrade

Hi; I'm currently trying to upgrade a disabled friends EMachine w3650 with a core duo, Intel gma 950, 1GB memory,160GB drive to Vista. I have found a retail version of Windows Vista Ultimate Upgrade with Key Code & COA and was wondering if I would run into any problems with this? Would it be best to add another gigabyte of memory or would the ultimate version run adequately on just one? I've installed a few O.S. upgrades in the past on my own machines but haven't done this in awhile.

It should be fine with 1, here are the OS min. specs: Microsoft Vista Home Premium, Microsoft Vista Business, Microsoft Vista Enterprise, and Microsoft Vista Ultimate

1-gigahertz (GHz) 32-bit (x86) processor or 1-GHz 64-bit (x64) processor
1 GB of system memory
Windows Aero-capable graphics card
128 MB of graphics memory
40-GB hard disk that has 15 GB of free hard disk space (the 15GB of free space provides room for temporary file storage during the install or upgrade.)
Internal or external DVD drive
Internet access capability
Audio output capability
